1. Eligibility

By placing an order, you represent and warrant that:

2. Made-to-Order Products

All products are manufactured on a made-to-order basis.

Production begins immediately after payment confirmation.

By placing an order, you acknowledge:

  • The product is custom manufactured for you

  • Standard cancellation rights may not apply

  • Production costs are incurred immediately

3. Pricing & Taxes

  • Prices are listed in the selected currency at checkout.

  • Customers are responsible for import duties, VAT, customs fees, and local taxes.

  • We reserve the right to correct pricing errors.

Failure to pay customs duties may result in shipment abandonment without refund.

4. Intellectual Property

All content on the Website, including logos, designs, product images, graphics, text, and branding elements, are the exclusive property of Ice Seeker and protected under international copyright and trademark laws.

Unauthorized reproduction or commercial use is strictly prohibited.

5. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for indirect, incidental, consequential, punitive, or special damages.

  • Our total liability for any claim shall not exceed the total amount paid by you for the specific product giving rise to the claim.

  • We are not liable for customs delays, courier disruptions, force majeure events, or third-party service failures.

Some U.S. states do not allow certain liability limitations. In such cases, liability will be limited to the fullest extent permitted by applicable law.

6. Disclaimer of Warranties

Except as expressly provided in our Warranty Policy:

  • Products are provided “as is” and “as available.”

  • We disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the maximum extent permitted by law.

7. BINDING ARBITRATION AGREEMENT (U.S. CUSTOMERS)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

A. Agreement to Arbitrate

For customers located in the United States, any dispute, claim, or controversy arising out of or relating to:

  • These Terms

  • Your purchase

  • Product quality

  • Advertising claims

  • Payment disputes

  • Chargebacks

Shall be resolved exclusively through final and binding arbitration, rather than in court.

B. Arbitration Rules

Arbitration shall be conducted:

  • Under the rules of the American Arbitration Association (AAA) or a mutually agreed arbitration provider

  • On an individual basis only

The arbitration may be conducted remotely (video or written submissions).

C. Class Action Waiver

E. Small Claims Exception

Either party may bring qualifying claims in small claims court if the matter remains within that court’s jurisdiction.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

However, for U.S. consumers:

  • Federal Arbitration Act (FAA) governs the interpretation and enforcement of the arbitration clause.

  • Mandatory consumer protection laws of your state of residence may apply where required.

9. Chargeback & Payment Disputes

Initiating a chargeback without first contacting us constitutes a breach of these Terms.

We reserve the right to:

  • Dispute fraudulent chargebacks

  • Submit production documentation and delivery confirmation

  • Recover administrative and dispute-related costs

  • Restrict future purchases

10. Indemnification

You agree to indemnify and hold harmless SHREE INTERNATIONAL and Ice Seeker from any claims, damages, liabilities, losses, or expenses arising from:

  • Violation of these Terms

  • Fraudulent activity

  • Misuse of the Website

11. Force Majeure

We shall not be liable for failure or delay caused by events beyond our reasonable control, including but not limited to:

  • Natural disasters

  • War

  • Government actions

  • Supply chain disruptions

  • Customs restrictions

12. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

13. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Website after changes constitutes acceptance of revised Terms.
